Terms of Service

Version 1.15 · Effective 28 October 2026 · Operated by Orumio

These Terms of Service (the “Terms”) are between Orumio (“we”, “us”; represented by Masanori Iwata, Mitsuhashi Building 3F, 1-3-3 Kita-Aoyama, Minato-ku, Tokyo 107-0061, Japan) and the business that uses OrderJay (the “App”) with a system of record other than a Shopify store (“you”). You accept them on behalf of that business when you connect that system to your OrderJay workspace on a screen that links them. They do not apply to a workspace whose system of record is a Shopify store.

1. What the App is

The App runs your wholesale order desk from email. It reads the mailbox you connect, matches each retailer’s message to the customers, products, stock and orders in your system of record, and records what it would do, or did, as a receipt — and anything it cannot verify as an exception for a person to decide.

2. On Unleashed, the App writes nothing and states no price

When your system of record is Unleashed, the App reads your customers, products, currencies, warehouses, stock, sales orders, shipments and invoices, and writes nothing to Unleashed. It states no price — Unleashed keeps the prices it is given and has no calculation for a retailer the App could read — so a quote or an order shows its lines and stock, and the price is yours to set in Unleashed. Quotes and orders run in Watch only: a receipt says what the desk would do and why; it is not an order, the App sends nothing about it on its own, and nothing in Unleashed changes because of it.

Questions about stock, and about the status of an order you have accepted in Unleashed, can be answered by the App itself once you have accepted version 1.14 of these Terms, or a later version, in the App and chosen Run for that kind of question on Policy. Each answer is held for the cancel window your policy sets and checked against Unleashed again before it is sent; it is addressed only to the customer’s known contact who wrote, whose address authenticated in that conversation, with copies only to that customer’s own addresses; and anything the App cannot confirm becomes an exception for a person to decide. Until your workspace has proved control of your own domain, answers leave from our mail domain with your workspace’s name as the sender’s name. Every other reply is sent only when your staff write and send it themselves.

3. Licence and account

We grant you a limited, non-exclusive, non-transferable right to use the App for your own business while these Terms run. You are responsible for who in your business can sign in to your workspace. To connect Unleashed, your Unleashed account owner gives the App its API ID and key, which open the whole account; you represent that you are entitled to give the App that access. We use them only for the reads the App needs and keep them encrypted. Unleashed says they cannot be changed and that it cannot block an integration once they are shared, so erasing our copy is how this access ends: we erase them when you disconnect.

4. Fees

Use of the App is free during a pilot we agree with you in writing (email is enough). After a pilot, the App is charged only if you and we agree a price in writing; we then invoice you for it. There is no automatic charge, and we hold no card.

5. Your data

How the App reads, stores, protects and deletes data is described in the Privacy Policy and the Data Processing Agreement, which form part of these Terms. Your business data is and remains yours.

6. Acceptable use

You agree not to:

  • resell, sublicense or provide the App to third parties;
  • reverse engineer, scrape or probe the App or its infrastructure, except where such a restriction is unenforceable by law;
  • use the App in violation of law or of your agreements with the provider of your system of record or of your mailbox;
  • interfere with the App’s operation or attempt to access another business’s data.

7. Intellectual property

The App, including its software, design and documentation, is and remains ours. If you send us feedback, we may use it to improve the App without obligation to you.

8. Availability

We work to keep the App available, but it depends on your system of record and your mailbox and may be interrupted by maintenance, their limits or events outside our control. The App uses part of your Unleashed organisation’s API allowance; the connect screen says about how much.

9. Warranty disclaimer

The App is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that its results are complete or correct, or that the App will be uninterrupted or error-free. You remain responsible for your orders, your prices and what you send your retailers.

10. Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and our total liability under these Terms is capped at the fees you paid us for the App in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including liability for wilful misconduct or gross negligence.

11. Ending these Terms, and erasure

These Terms run while your system of record is connected to your OrderJay workspace. You may end them at any time by disconnecting it in Connections and telling us. Disconnecting Unleashed erases the API ID and key and the App’s copy of your customers and products at once, and nothing is left in Unleashed to remove. Unleashed sends us no signal when you stop, so the rest — the retailers, contacts and addresses the App derived from your records and, if you ask, your whole workspace — is erased within 10 business days of your written request; message text is erased 180 days after it arrived in any case. We may end a pilot, or these Terms, by telling you by email 30 days ahead, or at once if you materially breach them and do not cure the breach within a reasonable time after notice. Sections 5, 7, 9, 10 and 12 survive.

12. Governing law

These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. Disputes arising from them are subject to the exclusive jurisdiction of the Tokyo District Court in the first instance.

13. Changes

If we change these Terms, we update this page and its version number before the change takes effect, and announce material changes by email 30 days ahead. Continued use after the effective date is acceptance.
